MarshallMorgan, LLC is comprised of financial and legal experts who are highly experienced in all aspects of business and retail acquisitions and divestitures. The principals of MarshallMorgan have created and established successful domestic and international acquisition and divestiture programs for such well-known companies as Tricon Restaurants International, Pizza Hut and Blockbuster. These programs have resulted in a combined $1 billion worth of transactions and the acquisition or divestiture of over 2100 retail units.
In the past , the range of services offered by MarshallMorgan would only be available to large corporations who have the ability to retain Wall Street-type consultants and/or a full-time M&A division. However, in this economy, middle-market companies including franchisors/franchisees who need to compete need these same services in order to survive. MarshallMorgan was created to fill this growing need of companies seeking to grow through acquisitions or to raise capital or expand their franchise brand through divestitures or refranchising. MarshallMorgan provides an experienced M&A team on a project-by-project basis without the time, expense and risks of creating and maintaining a full-time M&A division and at a cost, which is affordable for companies who haven’t made the Fortune 500 list ….. yet.
Background on Principals
Larry Simmons & Amer Quraishi (co-founders of MarshallMorgan, LLC)
Larry Simmons has over 25 years experience as an attorney and is licensed to practice in Texas and Louisiana. The focus of Larry’s private practice was primarily real estate, corporate transactions and business litigation. Later, while at the FDIC, Larry was the primary attorney charged with handling the major real estate transactions such as the Glen Eagles and Mira Vista Country Clubs, Willow Bend Residential Estates and several major high rise office buildings throughout Texas including Dallas and Houston areas, for its Southwest Regional Office. He was also responsible for major loan work-outs with large development companies during the tough real estate days of the late ‘80s and early ‘90s. Shortly, thereafter, Larry joined the Merger and Acquisitions Division of PepsiCo / Pizza Hut. While at Pizza Hut, this division was responsible for the sale of over 2500 restaurants to franchisees amounting to close to $850MM in revenues back to Pizza Hut. Two years later, Larry became the head of Mergers & Acquisitions for Blockbuster where his group was responsible for the acquisition of over 300 units from competitors and the sale of 500 stores to Blockbuster franchisees.
Amer Quraishi has over 20 years of experience in corporate finance and investment banking. Prior to MarshallMorgan, Amer worked in senior financial positions for several corporations including Exxon, PepsiCo/Pizza Hut and Blockbuster. At Exxon, Amer held several positions of increasing responsibility within Accounting, Corporate Finance, Business Analysis, and Treasury. He was responsible for managing Exxon’s European portfolio with primary responsibility for valuation of acquisition targets, recommending optimal financing for joint ventures, lease vs. buy analysis, setting up tax efficient entities, and cash management. At Pizza Hut and Blockbuster, Amer worked in the Mergers & Acquisitions Department and was responsible for negotiating and structuring deals as well as nurturing existing financing relationships and identifying new financing and equity sources. His accomplishments at Pizza Hut and Blockbuster have included closing several large deals in excess of $100 million, developing a process of screening for strong franchisee candidates, creating a dedicated loan financing program of $250 million, and presenting an analysis to senior management on the benefits and pitfalls of a workout with troubled franchisees. Amer graduated from the University of Rochester with a BA in Economics in 1988 and a MBA from the Rochester Institute of Technology in 1990 with a concentration in Finance and Corporate Accounting.
Since 2000, MarshallMorgan, provided services to franchisees who either need financial help in working out of bad loans or who are looking to either buy new markets or sell their existing businesses. In addition, MarshallMorgan has consulted with franchisors that are looking to grow through expansion of their franchise markets or who need help working out problems with their existing franchisees. MarshallMorgan and its principals have created 3 divestiture programs for franchisors over the last 5 years and have extensive experience in understanding the issues and problems involved in every franchise program from both the perspective of the franchisor and the franchisee.
